2.1    DISTRIBUTOR is hereby entitled to market, offer and sell Contractual Products to End-Customers in the Territory and is granted non-exclusive sales rights for Contractual Products to End-Customers in the Territory. Countries not included in the Territory are explicitly excluded. DISTRIBUTOR is not entitled to sell Contractual Products through any sub-distributor without prior written approval from XXX.In the event XXX grants any such approval, a condition of such approval shall be the entry by the sub-distributor into an agreement with DISTRIBUTOR and XXX providing for the sub-distributor to be bound by and agree with all of the relevant provisions of this Agreement.
